These Terms of Use ("Terms") govern your access to and use of www.themeridianopsgroup.com and any related pages, quizzes, assessments, booking tools, chat features, and content (together, the "Site"), operated by TKP Innovative Solutions, LLC dba Meridian Operations Group ("Meridian Operations Group," "we," "us," or "our").

Please read these Terms carefully. By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you are using the Site on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf. If you do not agree, do not use the Site.

1. About Us and the Site

Meridian Operations Group provides senior-led, business-to-business operations and supply chain margin consulting to consumer packaged goods (CPG), manufacturing, and logistics companies. Our services include the Margin Diagnostic, Margin Blueprint, Margin Recovery Engagement, and fractional Supply Chain Transformation Leadership. The Site provides general information about these services and lets you take an online quiz, request or book a consultation, and contact us.

2. Eligibility and Business Use

The Site is intended for business professionals who are at least 18 years old. You agree to use the Site only for lawful business purposes and in accordance with these Terms.

3. Acceptable Use

When using the Site, you agree not to:

• Provide false, misleading, or someone else's information, including in the quiz, booking forms, chat, or contact forms;
• Use the Site in any way that violates any applicable law or regulation;
• Attempt to gain unauthorized access to the Site, its systems, or any accounts or data;
• Introduce viruses, malware, or other harmful code, or interfere with the proper operation of the Site;
• Use automated means (such as bots, scrapers, or crawlers) to access, copy, or collect content or data from the Site without our written permission;
• Send spam, unsolicited promotions, or abusive, harassing, or offensive messages through the chat or forms;
• Copy, reproduce, or use our content, methodologies, or materials to build a competing product or service; or
• Impersonate any person or misrepresent your affiliation with any company.

We may suspend or block access to the Site, or decline to respond to submissions, if we believe you have violated these Terms.

4. No Professional Advice Through Site Content

The content on the Site, including articles, insights, examples, case descriptions, figures, and benchmarks, is provided for general informational purposes only. It is not operational, financial, accounting, tax, legal, or other professional advice, and it is not tailored to your company's circumstances. You should not act or refrain from acting based on Site content without obtaining advice specific to your situation.

Any examples of results or savings achieved for other companies are illustrative only. Results depend on many factors, and past results do not guarantee similar outcomes for your business.

5. Quiz and Assessment Results Are Informational

Our online quiz, scorecard, or self-assessment tools (the "Quiz") generate results based solely on the answers you provide and on general assumptions. Quiz results, scores, estimates, and recommendations:

• Are for general informational and educational purposes only;
• Are not a Margin Diagnostic, Margin Blueprint, or any other consulting deliverable;
• Have not been verified against your company's actual data; and
• Should not be relied upon as the basis for business, financial, or operational decisions.

We are not responsible for decisions you make based on Quiz results. Information you submit through the Quiz is handled as described in our Privacy Policy.

6. Booking and Consultations

6.1 Scheduling

You may request or schedule a consultation through the booking calendars on the Site, which are provided through GoHighLevel and Calendly. Booking a time does not guarantee that we will provide services. We may reschedule or cancel a consultation, and we may decline to proceed with any engagement for any reason.

6.2 Rescheduling and Cancellation

Please reschedule or cancel using the link in your confirmation message, or by emailing [email protected], at least 24 hours before your scheduled time.

6.3 No Client Relationship Until a Written Agreement Is Signed

Introductory calls, discovery calls, chat conversations, emails, and Quiz results do not create a consulting or client relationship. A client relationship begins only when both parties sign a written engagement agreement, proposal, or statement of work. The scope, deliverables, fees, payment terms, confidentiality, and other terms of any paid service (including the Margin Diagnostic, Margin Blueprint, Margin Recovery Engagement, or fractional Supply Chain Transformation Leadership) will be set out in that written agreement. If there is any conflict between these Terms and a signed engagement agreement, the engagement agreement controls for that engagement.

6.4 Information You Share Before an Engagement

Please do not share confidential or proprietary company information through the Site, chat, or Quiz. If confidential information needs to be shared before an engagement, we can put a mutual non-disclosure agreement in place first. Unless a written confidentiality agreement is in place, information you share through the Site is not treated as confidential, although we will handle personal information as described in our Privacy Policy.

7. Communications

By submitting your contact information through the Site, a booking calendar, chat, or an advertising lead form, you agree that we may contact you by email about your inquiry and our services. If you separately agree to receive text messages, those messages are subject to the SMS terms in our Privacy Policy. You can reply STOP to opt out of text messages at any time and can unsubscribe from marketing emails using the link in any marketing email. Consent to receive text messages is not a condition of purchase.

8. Intellectual Property

The Site and all of its content, including text, graphics, logos, the names "Meridian Operations Group" and "The Meridian Operations Group," service names, Quiz questions and scoring, frameworks, methodologies, images, and the design and arrangement of the Site, are owned by or licensed to Meridian Operations Group and are protected by United States and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to view and use the Site for your internal business purposes of learning about our services. You may print or save a reasonable number of pages for that purpose, as long as you keep all copyright and other notices intact. You may not otherwise copy, modify, distribute, republish, sell, create derivative works from, or commercially exploit any Site content without our prior written permission. All rights not expressly granted are reserved.

8.1 Feedback

If you send us suggestions, ideas, or feedback about the Site or our services, you agree that we may use them without restriction or compensation to you.

9. Third-Party Services and Links

The Site uses or links to third-party websites, tools, and services, including GoHighLevel/LeadConnector, Calendly, Meta (Facebook and Instagram), and LinkedIn. These third parties are not under our control, and their services are governed by their own terms and privacy policies. We are not responsible for the content, availability, accuracy, or practices of any third-party website or service, and a link does not mean we endorse it. Your use of third-party services is at your own risk.

10. Disclaimers

THE SITE AND ALL CONTENT, QUIZ RESULTS, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, MERIDIAN OPERATIONS GROUP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT CONTENT IS COMPLETE OR CURRENT, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MERIDIAN OPERATIONS GROUP OR ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, MARGIN, BUSINESS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, ITS CONTENT, OR QUIZ RESULTS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

This section does not limit liability under a signed engagement agreement, which is governed by its own terms. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Meridian Operations Group and its members, managers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any information you submit through the Site.

13. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-law rules. You agree that any legal action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Sangamon County, Illinois, and you consent to the personal jurisdiction of those courts. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.

14. Changes to the Site and These Terms

We may change, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time. When we do, we will post the updated Terms on this page and change the "Last Updated" date above. Your continued use of the Site after updated Terms are posted means you accept the changes.

15. General

• Entire agreement: these Terms and our Privacy Policy are the entire agreement between you and us about the Site. A signed engagement agreement governs any consulting services.
• Severability: if any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted.
• No waiver: our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: you may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of our business.
• Headings: headings are for convenience only and do not affect interpretation.
